Board and Organizational Structure Design

Context and Need:
A design and engineering company had experienced rapid growth in recent years, expanding from a few million to over €30 million in revenue. However, this expansion revealed a misalignment between the company’s existing organizational and corporate structure and the new market opportunities it aimed to pursue. Recognizing the need to adapt its governance to future challenges, the company sought to ensure long-term sustainable growth and support its expansion ambitions.

Our Role:
Our project began with a comprehensive analysis of the company’s current governance and management structure, with a particular focus on existing practices. We then proposed a new governance framework, including a delegation system between the newly established Board of Directors (BoD) and the General Manager, ensuring a balanced approach between strategic continuity and necessary adaptation to change. We supported the appointment of a new Board of Directors, selecting highly qualified members, and established compensation criteria, introducing performance-based incentive systems to align management with strategic objectives. Additionally, we redesigned the organizational chart, refining the alignment between the formal and operational structure to enhance decision-making efficiency and improve overall organizational effectiveness.

Our Impact:
Our role resulted in the creation of a stronger governance framework, fully aligned with the company’s growth and development objectives. The new structure enabled the company to better manage financial and strategic risks, effectively addressing the challenges posed by its significant expansion and positioning it for sustained success in a rapidly evolving market.
